1. Introduction
These Terms of Use govern your download, installation, and use of the Milo mobile application (the “App”). By downloading, installing, or using the App, you agree to be bound by these Terms of Use. If you do not agree to them, you must not access or use the App.
2. About Us
The App is owned and operated by MILO BABY, a Canadian corporation headquartered in Mississauga, Ontario, Canada (“we”, “us”, “our”).
3. Changes to these Terms of Use
We may update these Terms of Use from time to time. Any changes will be posted on our website or provided through an App update. Your continued use of the App after any changes constitutes acceptance of the revised Terms of Use.
4. Eligibility
You must be at least 18 years old to download or use the App. If you are under 18, you may only use the App with the consent and supervision of a parent or legal guardian.
5. International Use
The App is operated from Canada. Access from territories where the App or its content is illegal or restricted is prohibited. If you access the App from outside of Canada, you do so at your own initiative and are responsible for compliance with all local laws.
6. Requirements for Use
You are responsible for obtaining devices, software, Internet connections, and mobile data required to use the App.
7. Acceptable Use
You agree not to use the App unlawfully, fraudulently, harmfully, offensively, or in a manner that infringes rights, spreads malware, or disrupts systems. You may not scrape, extract, index, or harvest data from the App, nor use the App to train or develop machine-learning models.
8. Licence and Restrictions
We grant you a limited, non-exclusive, revocable licence to use the App on your personal device. You may not copy, modify, reverse engineer, distribute, or commercially exploit the App. You may not sublicense, resell, frame, mirror, or access the App for competitive analysis. Reverse-engineering is only permitted where explicitly required by mandatory applicable law.
9. User Content
If you submit any content (excluding personal data governed by our Privacy Policy), you grant us a worldwide, royalty-free licence to use, host, reproduce, modify, and display such content as necessary to operate and improve the App. You confirm that you hold all rights to such content and that it does not infringe on any law or third-party rights. We reserve the right to remove content that we consider unlawful or inappropriate.
10. Health Disclaimer
The App provides general baby sleep information, tracking tools, and predictive scheduling. The App does not constitute medical advice, diagnosis, or treatment. Always seek the advice of your pediatrician or other qualified health provider with any questions regarding your child's health or sleep habits.
11. Availability and Updates
We do not guarantee uninterrupted access to the App. By using the App, you agree to automatic updates provided as part of the App’s normal operation.
12. Security
You must keep your account details confidential. We may disable or suspend your access if we suspect misuse, security issues, or unauthorized access to your account.
13. Platform Operators
These Terms of Use are between you and MILO BABY, not any app store operator (e.g., Apple or Google). These operators are not responsible for the App, its content, or its support.
14. Data Protection
We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
15. Third-Party Websites
We are not responsible for third-party content, websites, or services linked to or from the App.
16. Intellectual Property
All intellectual property rights in the App, including its design, text, graphics, and underlying code, belong to us or our licensors.
17. Limitation of Liability
The App is provided on an “as is” and "as available" basis. To the maximum extent permitted by applicable law, our liability is capped at the amount you have paid to us in the past twelve (12) months or CAD $150, whichever is greater.
18. Your Warranties
You warrant that your use of the App complies with these Terms of Use, all applicable laws, and does not infringe upon the rights of any third party.
19. Indemnification
You agree to indemnify and hold harmless MILO BABY for any losses, damages, or legal fees arising from your misuse of the App or breach of these Terms of Use, to the extent permitted by applicable law.
20. Termination
We may suspend or terminate your access to the App immediately if you breach these Terms of Use. Upon termination, your license to use the App ends immediately.
21. Severability
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
22. Assignment
You may not assign your rights under these Terms of Use. We may assign our rights and obligations without your consent. If we assign these Terms of Use, we will notify you where required by law.
23. Subscriptions, Purchases and Refunds
The App may offer paid features or subscriptions. Purchases are handled by the platform where the purchase is made (e.g., Apple App Store, Google Play), or our web-based sales partner acting as the merchant of record. We do not directly process or store any payment information.
Subscriptions renew automatically unless cancelled through the account settings of the platform where the subscription was purchased prior to the renewal date. Any trial or introductory offer will convert to a standard paid subscription unless cancelled before expiry. Refund requests must be submitted directly to the relevant billing platform. If you cancel a subscription, you will retain access to paid features for the remainder of your current billing period.
24. Governing Law and Jurisdiction
These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
